Freezeplex – Refrigeration & Cooling Solutions

These Commercial Terms & Conditions (“Terms”) govern all transactions between Freezeplex and its business clients (“Client”) in relation to the sale, installation, servicing, and maintenance of commercial refrigeration, ice machines, and cooling equipment. By placing an order, the Client agrees to the following:

1. Quotations & Orders

• All quotations are valid for 30 days unless otherwise stated in writing.

• Orders must be placed in writing via email or official purchase order.

• Prices are exclusive of GST, freight, and installation unless specified.
  
  

2. Payment Terms

• Standard payment terms are 50% advance with order confirmation and 50% before dispatch, unless agreed otherwise.

• Delayed payments may attract interest @18% p.a. and suspension of services.

• Goods remain the property of Freezeplex until full payment is received.
  
  

3. Delivery & Installation

• Delivery schedules are estimates only. Delays caused by logistics, customs, or force majeure will not be liable for penalties.

• Installation should be scheduled within 7 working days of delivery.

• Any site delays or hindrances caused by the client will attract additional charges.
  
  

4. Warranty & Service

• Equipment is covered under a 1-year manufacturer warranty and up to 5 years for compressor, subject to terms.

• Warranty covers only manufacturing defects. It excludes:

  • Electrical fluctuations or improper power supply

  • Physical damage or misuse

  • Unauthorized modifications or repairs

• Preventive maintenance and AMC (Annual Maintenance Contracts) are available at extra cost.
  
  

5. Returns & Replacements

• No returns accepted once equipment is dispatched and installed.

• In case of transit damage, the client must notify within 24 hours with supporting evidence.

• Defective units under warranty will be repaired or replaced at our discretion.
  
  

6. Site & Power Requirements

• Client must ensure proper site conditions, earthing, and stable power supply before installation.

• Any delays or damage due to inadequate site readiness will not be our responsibility.

• Any additional civil, plumbing, or electrical work is not included unless quoted.
  
  

7. Limitation of Liability

• Freezeplex is not responsible for:

  • Product loss due to downtime or breakdown

  • Indirect or consequential losses

  • Damages beyond the product’s value
    
    

8. Compliance & Use

• Equipment must be used only for its intended commercial purpose.

• Overloading or using non-compatible substances voids warranty.

• Client agrees to operate and maintain the equipment per the user manual.
  
  

9. Dispute Resolution

• All disputes shall be governed by the laws of [State, Country].

• Jurisdiction lies exclusively with the courts in [City].
  
  

10. Confidentiality

• All technical drawings, specifications, and pricing shared are confidential and may not be shared with third parties without written consent.
  
  

11. Modification of Terms

• We reserve the right to update these terms without prior notice.

• The latest version will always be applicable for ongoing and future transactions.
